Acceptance of terms
By accessing this website or engaging Adyanta Technologies Pvt. Ltd. for services, you agree to these terms. If you do not agree, please discontinue use of the website and do not place an order.
Services and proposals
All services are supplied on the basis of a written proposal or statement of work that specifies scope, deliverables, assumptions, exclusions, timelines, commercials and payment milestones. The proposal, together with these terms, forms the agreement between us.
Website content, indicative pricing and timelines are provided for guidance and are not an offer. Estimates are confirmed only in a signed proposal.
Client responsibilities
Timely provision of content, approvals, test data, third-party access and named decision makers is essential. Delays in these inputs may shift agreed dates and, where a delay exceeds fifteen working days, may attract remobilisation charges advised in advance.
Change control
Requests outside the agreed scope are documented as change orders with effort, cost and schedule impact. Work on a change begins only after written approval.
Fees, taxes and payment
Fees are quoted in Indian Rupees and are exclusive of applicable GST unless stated otherwise. Invoices are payable within seven days of receipt. Overdue amounts may attract interest at 1.5% per month, and we may suspend work or hosting on accounts overdue by more than thirty days.
Third-party costs such as domains, licences, paid APIs, SMS credits and advertising spend are billed at actuals without markup, or paid directly by you.
Intellectual property
On receipt of all amounts due, ownership of bespoke deliverables, source code and documentation created for you transfers to you. We retain ownership of our pre-existing frameworks, accelerators, tools and know-how, and grant you a perpetual, non-exclusive licence to use them within the delivered solution.
Open-source components remain governed by their respective licences, which are disclosed in the handover documentation.
Warranty and support
Bespoke development carries a 30-day warranty from go-live covering defects against the agreed acceptance criteria. Enhancements, new requirements, third-party platform changes and issues arising from unauthorised modification are outside warranty and are handled under an AMC or change order.
Confidentiality
Each party will protect the other's confidential information with the same care it applies to its own, and will not disclose it except to personnel who need it to perform the agreement. This obligation survives termination by three years.
Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of an engagement is limited to the fees paid to us for that engagement in the preceding six months. We are not liable for indirect, incidental or consequential loss, loss of profit, revenue, goodwill or data, however caused.
Suspension and termination
Either party may terminate an engagement with thirty days' written notice. On termination you pay for work completed and accepted up to the termination date, and we hand over completed deliverables, credentials and documentation. We may suspend services immediately for non-payment or unlawful use.
Acceptable use of this website
You must not attempt to breach the security of this website, scrape it at a rate that degrades service, upload malicious code, or use our content, brand or logo without written permission.
Governing law
These terms are governed by the laws of India. The courts at Navi Mumbai, Maharashtra have exclusive jurisdiction, subject to good-faith attempts to resolve disputes by discussion first.
